Sales Terms & Conditions

1. General Terms

  • All sales made by Vancouver Mechanical Supply (VMS) are subject to these terms and conditions. By placing an order with VMS, the buyer agrees to these terms, which supersede any other terms or agreements unless explicitly agreed upon in writing by VMS.

 

2. Pricing

  • All prices are in Canadian dollars (CAD) unless otherwise specified.

  • Prices are subject to change without prior notice. Confirmed prices are valid only for written quotations provided by VMS and are valid for 30 days unless otherwise stated.

  • Taxes, duties, and other government charges are additional and will be added to the invoice as required by law.

 

3. Payment Terms

  • Payment terms are Net 30 days from the date of the invoice.

  • Payments not received by the due date will incur a late payment charge of 2% per month (24% per annum) on the outstanding balance.

  • VMS reserves the right to withhold shipments or services until overdue balances are paid in full.

 

4. Shipping and Delivery

  • Shipping is extra and will be charged based on the destination and size/weight of the order.

  • Delivery dates are estimates and are not guaranteed. VMS is not liable for delays in delivery caused by events beyond its control, including factory, customs, or freight delays.

  • Release Terms: The above delivery timelines are only estimated and are subject to change from the factory. Customs and freight delays may also occur without notice.

  • Risk of loss or damage passes to the buyer upon delivery to the carrier.

 

5. Order Acceptance

  • VMS reserves the right to accept or reject any order at its discretion. A binding agreement is created only when VMS confirms acceptance of the order.

  • Special orders or custom products may require a non-refundable deposit.


 

6. Order Pickup and Storage

  • All orders shipped to VMS's warehouse must be picked up or delivered within 30 days of notification of arrival. After 30 days, storage fees will apply.

 

7. Returns and Cancellations

  • Return Policy:

    • Warehouse (stock) orders are subject to a 25% restocking fee. Returns are accepted up to 60 days from the date of order pick-up.

    • Non-stock orders, Factory Orders, or 3rd Party orders are FINAL SALE, with no refunds or credits issued.

    • Customer returns without prior notification and approval will not be subject to any credit.

  • Special orders, custom products, or products specifically manufactured for the buyer are non-returnable.

  • Order cancellations must be requested in writing and may be subject to fees depending on the order status.

 

8. Warranty

  • VMS warrants its products to be free from defects in materials and workmanship under normal use and service for one year from the date of purchase, unless otherwise specified.

  • The warranty is limited to the repair or replacement of the defective product, at VMS's discretion. This warranty does not cover any labor costs, installation, or other expenses.

  • The warranty is void if the product has been misused, modified, or improperly installed.

 

9. Limitation of Liability

  • VMS's liability for any claim related to the products sold, whether based on contract, warranty, tort, or otherwise, shall not exceed the purchase price of the product.

  • VMS is not liable for any indirect, special, incidental, or consequential damages arising from the sale or use of its products.

 

10. Governing Law

  • These terms and conditions are governed by and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

 

11. Dispute Resolution

  • Any disputes arising from or related to these terms and conditions shall be resolved through negotiation between the parties. If unresolved, the dispute shall be submitted to binding arbitration in British Columbia.

 

12. Intellectual Property

  • The buyer acknowledges that all trademarks, trade names, copyrights, and other intellectual property associated with the products remain the exclusive property of VMS.

 

13. Force Majeure

  • VMS is not liable for any delay or failure in performance due to events beyond its reasonable control, including natural disasters, labor strikes, supply chain disruptions, and other force majeure events.
